Terms & Conditions

These Terms and Conditions govern your access to and use of the hanani platform. Please read them carefully before using our services. By creating an account or using any part of the platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the hanani platform at hanani.co.za, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our platform. These Terms constitute a binding agreement between you and Hanani Project Management Solutions (Pty) Ltd (Reg: 2007/030396/07, VAT: 4700250436) ("hanani", "we", "us").

2. Platform Description

hanani is a South African talent acquisition and HR services platform that: • Connects employers with job seekers • Facilitates background checks and FICA verification • Provides onboarding, payroll administration, and interview scheduling services • Processes resource requests and placement services We reserve the right to modify, suspend, or discontinue any part of the platform at any time with reasonable notice.

3. User Accounts

To access certain features you must register an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain the security of your password and account credentials • Notify us immediately of any unauthorised use of your account at [email protected] • Accept responsibility for all activity that occurs under your account We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

4. Job Seeker Obligations

As a job seeker on the hanani platform, you agree to: • Provide truthful and accurate information in your profile and applications • Upload only genuine documents (ID, qualifications, certificates) • Not misrepresent your qualifications, experience, or identity • Respond promptly to employer communications and interview invitations • Comply with all applicable laws, including the Employment Equity Act Fraudulent or misleading profiles will result in immediate account termination and may be reported to relevant authorities.

5. Employer Obligations

As an employer on the hanani platform, you agree to: • Post only genuine, lawful job opportunities • Comply with the Employment Equity Act, Basic Conditions of Employment Act, and all applicable South African labour legislation • Not discriminate unlawfully in hiring decisions • Use candidate personal information only for the purpose of evaluating their suitability for the advertised role • Pay all applicable fees as described in our Pricing schedule • Not share candidate information with third parties without the candidate's consent Employers are solely responsible for their hiring decisions. hanani does not guarantee the suitability of any candidate.

6. Fees and Payment

Certain services on the hanani platform are subject to fees as published on our Pricing page (hanani.co.za/pricing). All fees are in South African Rand (ZAR) and exclude VAT at 15% unless stated otherwise. Job Posting Credits: R 1,500 per post (excl. VAT). Credits are non-refundable once a job listing has been published. Editing an existing listing does not consume a credit. Resource Requests: R 3,500 (excl. VAT) per request submission, payable via PayFast before the search commences. Background Checks, Onboarding, and Payroll: Fees are quoted per engagement and confirmed before work begins. Payment is processed via PayFast. By making a payment you agree to PayFast's terms of service. hanani does not store card details.

7. Background Check Services

Background checks are conducted by accredited third-party verification partners. hanani acts as an intermediary and is not responsible for the accuracy of information returned by verification databases. Candidates must provide informed consent before any background check is initiated. Employers must have a lawful basis for requesting a background check and must comply with POPIA and the National Credit Act where applicable. Results are provided for employment screening purposes only and must not be used for any other purpose.

8. Intellectual Property

All content on the hanani platform — including but not limited to text, graphics, logos, software, and data compilations — is the property of hanani or its licensors and is protected by South African and international intellectual property law. You may not reproduce, distribute, modify, or create derivative works from any platform content without our prior written consent. You retain ownership of content you upload (profile information, documents, job descriptions). By uploading content you grant hanani a non-exclusive, royalty-free licence to use, store, and display that content solely for the purpose of operating the platform.

9. Prohibited Conduct

You must not: • Use the platform for any unlawful purpose or in violation of any applicable law • Attempt to gain unauthorised access to any part of the platform or its systems • Transmit viruses, malware, or other harmful code • Scrape, harvest, or systematically extract data from the platform • Post false, misleading, defamatory, or offensive content • Impersonate any person or entity • Use the platform to send unsolicited commercial communications (spam) • Circumvent any security or access control measures Violation of these prohibitions may result in immediate account termination and legal action.

10. Limitation of Liability

To the maximum extent permitted by South African law, hanani's total liability to you for any claim arising out of or relating to these Terms or the platform shall not exceed the amount you paid to hanani in the 12 months preceding the claim. hanani is not liable for: • Indirect, incidental, special, or consequential damages • Loss of profits, revenue, data, or business opportunities • The conduct or content of third-party users • Interruptions, errors, or unavailability of the platform • Decisions made by employers or job seekers based on platform information Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.

11. Indemnity

You agree to indemnify and hold harmless hanani, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: • Your use of the platform • Your violation of these Terms • Your violation of any third-party rights • Any content you submit to the platform

12. Termination

Either party may terminate the user relationship at any time. You may close your account by contacting [email protected]. We may suspend or terminate your account immediately if you breach these Terms or applicable law. Upon termination, your right to use the platform ceases. Provisions that by their nature should survive termination (including payment obligations, intellectual property, limitation of liability, and dispute resolution) will continue to apply.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa. Before initiating legal proceedings, you agree to first attempt to resolve any dispute by contacting us at [email protected]. We will endeavour to respond within 10 business days.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to registered users by email at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
